Subscription Terms
Draft. This page is being reviewed by our lawyer and may change before it applies. Questions: privacy@mantab.ai.
1. Who these terms are between
1.1 These terms are between Ana Beatriz Guimarães de Aguiar Gomes, trading as MantaB, a self-employed professional registered in Spain, NIF Z0942490R, VAT ESZ0942490R, at Carrer Roger de Flor 298, 3-1, 08025 Barcelona, Spain (“MantaB”, “we”), and the business that buys a plan (“you”).
1.2 Businesses only. Our plans are sold only to businesses and professionals acting in the course of their business. By buying, you confirm you are not a consumer. Consumer protection law, including the right of withdrawal, does not apply.
1.3 The person accepting these terms confirms they have authority to bind the business they represent.
2. How the contract starts
2.1 The contract starts when you complete checkout on our payment page and tick the box accepting these terms, the Data Processing Agreement and, for agencies, the White-label Terms.
2.2 We send a confirmation email with your plan, price and a copy of these terms. We keep a record of the version you accepted. You can ask us for it at any time.
2.3 These terms are in English, and the English version is the binding one. Any translation is for convenience only.
2.4 Order of priority if documents conflict: (a) the Data Processing Agreement, for anything about personal data; (b) the White-label Terms, for agencies; (c) these terms; (d) the plan description on our website at the time you bought; (e) anything else we said or sent before you bought, which these terms replace.
3. The plan
3.1 Your plan gives you an unlimited queue of requests, worked one at a time, an always-on layer of monitoring and data care, and a set of recurring deliverables, as described on our website and in our scope table (the “Services”). One request is active at a time. When it closes, the next one in your queue starts.
3.2 Month 1 is a full review of your systems (the “Foundation sprint”). It is paid as a normal month and has no setup fee.
3.3 Anything the website lists as not included is not part of the plan. Platform migrations and new tool implementations are separate projects, quoted in writing before they start.
3.4 We perform the Services with the skill and care of a competent revenue operations professional. We work remotely, on Spanish business days, and decide how, when and with which people and tools the work is done.
3.5 We may improve the Services over time. We will not reduce what your plan includes during a billing period you have already paid for.
4. Requests and turnaround times
4.1 Every request is sized as a Fast Fix, a Standard Build or a Complex Build. Complex Builds are split into milestones of up to 5 business days, each worked as its own request.
4.2 Turnaround times. We deliver a Fast Fix within 2 business days and a Standard Build within 5 business days. For agency clients these are 3 and 7 business days. Each milestone of a Complex Build has its own deadline, agreed when it is specced.
4.3 The clock starts when a request moves to In progress on your board and pauses on any day the request is waiting on you (access, approvals, answers, data). We log every wait on your board the day it starts.
4.4 If we miss a turnaround time for a reason that is ours, we tell you on your board, with the new date, and that request moves to the front of our work. Missed turnaround times don’t earn a refund or credit: the month 1 guarantee is the plan’s only refund.
5. The month 1 guarantee
5.1 If the month 1 deliverables are not live by day 30 of your first month for a reason that is ours, we refund half of your first month’s fee. The month 1 deliverables are: your baseline numbers, the system map, three quick wins, the core report pack, your operational debt ranked with a plan and dates, and your next 10 requests in priority order.
5.1a Fixing the operational debt itself is not a month 1 deliverable. It goes into your queue as milestones from month 2, because some of it takes weeks to fix properly.
5.2 The 30 days pause on days we are waiting on you, logged as in clause 4.3. Ask for the refund in writing within 15 days after day 30. We pay it within 15 days to the payment method you used.
5.3 This is the only refund the plan offers. It applies once per customer.
6. Price, payment and tax
6.1 Prices are as published on our website at the time you buy, in euros, excluding VAT. Your plan renews monthly and is charged in advance through Stripe, by card or SEPA Direct Debit, on the same day each month.
6.2 VAT is added where it applies. For customers established in Spain, Spanish IVA is added and the IRPF withholding that applies to us is deducted, as shown at checkout. For customers in other EU countries with a valid VAT number, the reverse charge applies. Our invoices are issued by Quipu and sent to your billing email.
6.3 If a payment fails, Stripe retries it. If it is still unpaid 10 days after we tell you, we may pause the Services until it is paid. A pause does not reduce what you owe. Late payment accrues interest at the statutory rate for commercial transactions (Directive 2011/7/EU) plus €40 per unpaid invoice.
6.4 Fees are non-refundable once the billing period has started, except for the guarantee in clause 5.
6.5 We may change our prices on 60 days’ notice by email. The new price applies from your next billing period after that. If you don’t accept it, you can cancel under clause 7 before it applies.
7. Cancelling
7.1 You can cancel any time from your billing portal. There is no notice period: your plan stops at the end of the billing period you have already paid for, and you are not charged again. No calls, no retention offers.
7.2 There is no pause. If you come back after more than 3 months, we start with a new system review, paid as a normal month.
7.3 We can cancel your plan with 30 days’ notice. If we do, we refund any period you have paid for and won’t receive.
7.4 Either of us can end the contract immediately by written notice if the other seriously breaches it and doesn’t fix the breach within 15 days of being told, or becomes insolvent.
7.5 We can also end it immediately if a request would require us to act unlawfully, or if continuing would cause serious harm to our reputation (for example, if your business becomes involved in illegal activity).
7.6 When the plan ends, we hand over everything built for you (it already lives in your tools and your documentation), remove our access within 5 business days and handle your data as the Data Processing Agreement says.
8. What we need from you
8.1 Access. Admin access to the tools in scope, at the level we ask for, within 5 business days of asking. Work on a system starts once we have access.
8.2 One approver. You name one person who approves specs, orders the queue and gives instructions. Instructions from anyone else don’t bind us until the approver confirms them.
8.3 Your tools. You license every tool in your own name and pay the vendor directly, including seats, data and AI credits. We are not responsible for a vendor’s pricing, outages, limits or changes.
8.4 Your data. We build on the data and systems you give us. We are not responsible for results caused by inaccurate, incomplete or unlawful data, or by problems that existed before we started, beyond what we have been asked to fix.
8.5 Running your business. You are responsible for using the system day to day; for the content, targeting and lawful basis of every message sent through it; for the decisions you take based on its reports, scores and forecasts; for your own prices, offers and contracts; for adoption and training in your team; and for consent and notice for any call, session or tracking you run.
9. AI and human review
9.1 We use AI to work faster. A named person at MantaB reviews every AI-assisted change before it goes live in your systems, and it is logged on your board.
9.2 Some things we set up for you may themselves use AI (for example an AI column, an AI workflow step or an agent inside your tools). Their output is probabilistic. You are responsible for reviewing it before it is sent externally or used for a decision.
9.3 We only use AI providers whose business terms exclude training on your data, with zero data retention where they offer it.
10. Intellectual property
10.1 Everything we build specifically for you (configurations, workflows, reports, documentation) belongs to you once the billing period in which it was built is paid. It is built in your tools and stays there.
10.2 We keep our own methods, templates, frameworks, prompts, tooling and know-how, including improvements to them (“our materials”). Where something we build for you contains our materials, you get a permanent, royalty-free licence to use and change it inside your business. You may not resell our materials, or use them to offer services to others.
10.3 Nothing stops us from doing similar work for other customers, in your industry or any other, using the general skills and experience we gain.
11. Confidentiality
11.1 Each of us keeps the other’s non-public information confidential and uses it only for the Services. This covers commercial terms, pipeline and customer data, pricing, methods and technical information.
11.2 This doesn’t apply to information that is public through no fault of the receiving party, was already known to it, was developed independently, or must be disclosed by law (with notice to the other party where lawful).
11.3 Each of us may share confidential information with its own people and subcontractors who need it, if they are bound by the same obligations. This clause lasts for 3 years after the contract ends, and for trade secrets as long as they remain secret.
12. Data protection
12.1 When we work in your systems we process personal data on your behalf, as your processor, under the Data Processing Agreement, which is part of these terms.
12.2 Sensitive data. The Services don’t need special category data (such as health data) or your consumers’ or patients’ records, and by default we don’t access systems that hold them. If your CRM must hold that kind of data, we agree the safeguards in writing before we start.
12.3 How we handle your team’s contact details as our customer is described in our privacy policy.
13. No guarantee of commercial results
13.1 Figures, benchmarks and examples on our website, in our content or in our calls illustrate the kind of improvement the Services support. They are not promises. Revenue, pipeline, conversion and retention depend on many things outside our control, and we don’t guarantee any level of them.
13.2 Apart from what these terms say, all other warranties are excluded as far as the law allows.
14. Liability
14.1 Neither of us is liable for lost profit, revenue, savings, opportunity or goodwill, or for indirect or consequential loss.
14.2 Our total liability under these terms is limited to the fees you paid us in the 6 months before the event that caused the claim.
14.3 Nothing limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn’t allow to be limited. Liability for data protection is governed by the Data Processing Agreement and Article 82 GDPR.
14.4 Claims must be notified in writing within 6 months of the claiming party becoming aware of them.
15. Independence, subcontractors and people
15.1 We are an independent business. Nothing in these terms makes us your employee, partner or agent.
15.2 We may use subcontractors. We remain responsible for their work, and they are bound by the same confidentiality and data protection obligations.
15.3 For the length of the contract and 12 months after, neither of us will knowingly try to hire anyone from the other side who worked on the Services, without the other’s written consent. General job ads don’t count.
16. Publicity
16.1 We may name you as a customer and show your logo on our website, unless you tell us not to. Any case study, quote or results need your written approval first.
17. Events outside our control
17.1 Neither of us is liable for delay or failure caused by events beyond reasonable control, including serious illness, except for paying money owed. If it lasts more than 60 days, either of us can end the contract by notice, and you pay only for the Services received.
18. Changes to these terms
18.1 We may update these terms. We will email you at least 30 days before a change that affects you takes effect. If you don’t accept it, you can cancel before it applies. The version in force on the date of each renewal applies to that billing period.
19. General
19.1 Notices go by email: to the email on your account, and to us at hello@mantab.ai (legal notices: privacy@mantab.ai until legal@ exists).
19.2 These terms, the Data Processing Agreement and, for agencies, the White-label Terms are the whole agreement. Your purchase orders, supplier portals or standard purchasing terms don’t apply, even if referenced on an invoice.
19.3 If a clause is found invalid, the rest stays in force and we replace it with a valid one with the same effect.
19.4 Neither of us may transfer the contract without the other’s consent, except to a business that takes over all or most of the transferring party’s business (including a company MantaB incorporates to continue this business, which is expected in 2027).
19.5 Not enforcing a right straight away doesn’t waive it.
20. Law and courts
20.1 Spanish law governs these terms.
20.2 Before going to court, we both try to solve any dispute in good faith for 30 days. After that, the courts of Barcelona, Spain, have exclusive jurisdiction. This doesn’t stop either of us asking a court for urgent interim measures, or claiming an undisputed unpaid invoice.
21. Using our website
21.1 You can read, share and link to the content on our website. Our templates and resources may be used inside your own business. Don’t resell them or publish them as your own.
21.2 The website is provided as it is. We work to keep it accurate, but prices and scope that bind us are the ones in force when you buy.
21.3 Don’t try to break, overload or scrape the site in ways that harm it, or misuse our forms.
